Ogólne Warunki Sprzedaży

I. SPRZEDAŻ TOWARÓW

  1. Kupujący przyjmuje do wiadomości, że niniejsze Ogólne Warunki Sprzedaży stanowią integralną  część umowy kupna-sprzedaży oraz każdego potwierdzenia zamówienia sprzedaży.
  2. Sprzedaż towarów odbywa się na podstawie zamówienia pisemnego /pismo, fax, e-mail, system dealer/, osobiście, lub w przypadku trwałych kontaktów handlowych na podstawie zamówienia telefonicznego.
  3. BIBUS MENOS Sp. z o.o. zobowiązuje się do ochrony danych osobowych swoich klientów zgodnie z obowiązującymi przepisami w tym zakresie.
  4. Ceny podane w ofertach oraz potwierdzeniach zamówień sprzedaży są cenami w Euro i – jeżeli płatność jest w PLN, będą przeliczane po kursie sprzedaży ING Banku z dnia wystawienia faktury VAT lub faktury pro-forma (w przypadku przedpłaty), chyba że indywidualna umowa stanowi inaczej.
  5. Minimalna kwota zamówienia wynosi 50 PLN netto. Przy zamówieniach niższych doliczona zostaje kwota manipulacyjna w wysokości 30 PLN, o ile indywidualna umowa nie stanowi inaczej.
  6. Z uwagi na fakt, iż BIBUS MENOS sp. z o.o. nie prowadzi sprzedaży wobec klientów, którzy są Konsumentami, postanowienia niniejszego dokumentu nie dotyczą relacji Sprzedawca – Konsument i tym samym nie uwzględniają uprawnień Konsumenta wynikających z rękojmi za wady fizyczne i prawne sprzedanego produktu, ani też uprawnień zawartych w ustawie z dnia 30 maja 2014 roku o prawach konsumenta (t.j. Dz. U. z 2017r. poz. 683).


II. KLIENCI

  1. W zamówieniu składanym przez Klienta powinny znaleźć się następujące informacje:
    – rodzaj towaru, jego ilość i planowany termin realizacji lub planowane terminy odbiorów w przypadku zamówień ramowych,
    – dane identyfikacyjne firmy,
    – sposób odbioru towaru,
    – adres dostawy jeśli inny niż adres fakturowania,
    – numer naszej oferty.

 
III. SPOSÓB, WARUNKI I TERMINY DOSTAW

  1. Sprzedający na podstawie złożonych zamówień i po analizie możliwości realizacyjnych przygotowuje potwierdzenie zamówienia dla klienta.
    Brak pisemnej odpowiedzi Kupującego w terminie 2 dni roboczych od otrzymania potwierdzenia zamówienia sprzedaży jest równoznaczny ze zgodą na realizację zamówienia i akceptację Ogólnych Warunków Sprzedaży.
  2. Zamówione towary, które w momencie wpływu zamówienia znajdują się w magazynie, zostaną dostarczone na terenie Polski w terminie do 3 dni roboczych od daty otrzymania zamówienia pod adres wskazany przez Kupującego, o ile indywidualna umowa nie stanowi inaczej.
  3. Każdorazowo na zewnętrznej stronie przesyłki umieszczona jest koperta z fakturą VAT. Na życzenie klienta faktura może być wysłana pocztą pod wskazany adres lub e-mailem jako e-faktura na wskazany adres e-mail.
  4. W przypadku odbioru własnego Sprzedający przygotowuje zamówiony towar do odbioru w uzgodnionym terminie i miejscu.
  5. Kupujący ma obowiązek zbadać towar natychmiast po jego otrzymaniu na zgodność z zamówieniem. Zobowiązany jest skontrolować w szczególności stan przesyłki oraz jakość, ilość i asortyment dostarczonego towaru, a także natychmiast zgłosić przewoźnikowi i Sprzedającemu w formie pisemnej ewentualne zastrzeżenia w tym zakresie.
  6. Niezgłoszenie zastrzeżeń przez Kupującego bezzwłocznie po otrzymaniu towaru będzie uważane za potwierdzenie prawidłowości dostawy.
  7. Sprzedający nie ponosi odpowiedzialności za szkodę lub utratę przesyłki w transporcie oraz opóźnienie w dostawie powstałe z winy przewoźnika.
    Kupujący przy odbiorze przesyłki jest zobowiązany do sprawdzenia, czy przesyłka nie posiada uszkodzeń powstałych podczas transportu, a także spisania w momencie dostawy, w obecności kuriera, protokołu o stanie przesyłki w sytuacji podejrzenia szkody. W przypadku braku takiego protokołu o uszkodzeniach, reklamacja z tytułu uszkodzenia w transporcie automatycznie nie będzie uznana.
  8. W przypadku niezależnego od Sprzedającego opóźnienia w dostawie towaru, termin realizacji zamówienia zostaje przedłużony o czas trwania przeszkody uniemożliwiającej Sprzedającemu terminową realizację zamówienia. W razie opóźnienia w dostawie towaru Sprzedający informuje Kupującego o przyczynie opóźnienia i nowej przewidywanej dacie realizacji zamówienia.
  9. Zamówienia zawierające zmiany w stosunku do oferty lub uzupełniające jej treść nie będą traktowane jako przyjęcie oferty, lecz jako nowe zapytanie o możliwość nabycia towarów, które wymaga sporządzenia nowej oferty. W takim przypadku dotychczasowa oferta traci ważność.
  10. Rezygnacja przez Kupującego z całości lub części zamówienia po zawarciu umowy sprzedaży, jak również wprowadzenie zmian w zamówieniu, nie będą uwzględniane. Kupujący ponosi wobec Sprzedającego odpowiedzialność za wszelkie szkody powstałe wskutek bezpodstawnej rezygnacji z całości lub części zamówienia.

 
IV. KOSZTY TRANSPORTU

Za przesyłki o wartości faktury do 700 PLN netto pobieramy opłatę logistyczną w wysokości 12 EUR netto (dotyczy transportów krajowych).
Za przesyłki niewymiarowe, o długości przekraczającej 2,5 m oraz w przypadku towarów wysyłanych za granicę opłaty logistyczne za transport będą ustalane indywidualnie.
 
 
V. WARUNKI I TERMINY PŁATNOŚCI

  1. Za termin zapłaty przyjmuje się datę wpływu należności na konto.
  2. Pierwsze 2 transakcje dokonywane są za przedpłatą albo za pobraniem,  następnie obowiązuje 14 dniowy termin płatności, o ile umowa nie stanowi inaczej.
    W przypadku towarów sprowadzanych lub produkowanych specjalnie dla danego klienta obowiązuje wyłącznie przedpłata, chyba że umowa stanowi inaczej.
  3. W przypadku niedotrzymywania terminów płatności dostawca ma prawo scedować należność przeterminowaną na podstawie umowy cesji wierzytelności na firmę windykacyjną,  wstrzymać realizację zamówień oraz odmówić zgody na płatność przelewem.

 
VI. ZASTRZEŻENIE WŁASNOŚCI

  1. Dostarczony towar do czasu spłacenia przez Kupującego całej należności pozostaje własnością Sprzedającego.
  2. Jeżeli Kupujący przerabia lub łączy dostarczony towar z innymi towarami, to Sprzedający uzyskuje prawo współwłasności do nowego produktu, proporcjonalnie do udziału wartości towaru dostarczonego przez Sprzedającego do łącznej wartości wszystkich zastosowanych do budowy danego produktu  towarów.

 
VII.   ODPOWIEDZIALNOŚĆ ZA SZKODY SPOWODOWANE PRZEZ PRODUKT
 
Sprzedający nie ponosi odpowiedzialności z tytułu szkód związanych z towarem, po jego dostarczeniu Kupującemu.
 

VIII.   GWARANCJA

  1. Sprzedający udziela Kupującemu gwarancji na zakupiony towar na okres 12 miesięcy od daty sprzedaży.
  2. Sprzedający usunie bezpłatnie wady ukryte lub powstałe z przyczyn tkwiących w dostarczonym towarze.
  3. Sprzedający odpowiada tylko za wady, które powstały mimo prawidłowego użytkowania dostarczonego towaru.
  4. Sprzedający nie odpowiada za uszkodzenia dostarczonego towaru, jeśli nastąpiły one w wyniku niewłaściwego użytkowania, niewłaściwego zainstalowania oraz w przypadku modyfikacji/ naprawy w innym serwisie niż serwis Sprzedającego, chyba że Sprzedający wyraził na to uprzednio zgodę.
  5. Gwarancja nie obejmuje towaru, który  choćby w jakiejś części został wykonany z materiałów dostarczonych przez Kupującego, bądź wg specyfikacji dostarczonej przez Kupującego.
  6. Reklamacja może być zgłoszona wyłącznie przez Kupującego.
  7. Zgłoszenie należy złożyć poprzez formularz internetowy na stronie https://formularze.bibusmenos.pl/reklamacyjny/, podając: numer faktury sprzedaży, numer fabryczny urządzenia, opis usterki oraz załączając skan karty gwarancyjnej (jeśli dotyczy).
  8. Urządzenie zgłoszone do reklamacji musi być dostarczone do Sprzedającego lub innego miejsca wskazanego przez Sprzedającego w stanie identycznym z tym, w jakim klient otrzymał je przy zakupie (kompletne, wymontowane, bez urządzeń dodatkowych).
  9. Bieg reklamacji rozpoczyna się wraz z dostarczeniem urządzenia do serwisu Sprzedającego lub innego miejsca wskazanego przez Sprzedającego.
  10. W przypadku nieuzasadnionego wezwania reklamacyjnego, wszystkie koszty z tym związane – m.in. koszty wykonania ekspertyzy – ponosi zgłaszający.
  11. Koszt wysyłki reklamowanego towaru do naprawy i po naprawie ponosi Kupujący. Jeśli reklamacja zostanie uwzględniona, wtedy koszty transportu ponosi Sprzedający.
  12. Gwarancja wygasa w przypadku nieprzestrzegania przez Kupującego warunków umowy, w szczególności w przypadku nie dokonania zapłaty w terminie płatności.
  13. Odpowiedzialność z tytułu rękojmi jest wyłączona.
  14. Odpowiedzialność odszkodowawcza Sprzedającego z jakiegokolwiek tytuły jest ograniczona do wartości sprzedanego towaru/usługi. Ponadto Sprzedający nie jest odpowiedzialny za utracone, przez Kupującego lub użytkownika towaru, korzyści.
  15. Postanowienie z punktu 14 niniejszego paragrafu nie ma zastosowania w przypadku dokonywania zakupu przez przedsiębiorcę prowadzącego jednoosobową działalność gospodarczą, gdy jego zakup nie jest związany z zawodowym charakterem prowadzonej przez niego działalności gospodarczej.  Ponadto w stosunku do w/w zakupu wyłączone są ze stosowania postanowienia paragrafu III pkt 6, 7 i 10; VII; IX oraz paragrafu XI pkt 2 do 5 i zastąpione zostaną przepisami prawa powszechnie obowiązującymi.

 
IX. ZWROTY TOWARU

  1. W przypadku potrzeby zwrotu towaru należy się skontaktować ze Sprzedającym i potwierdzić taką możliwość
  2. Przyjmujemy zwrot tylko nieuszkodzonego i nieużywanego towaru. Nie przyjmuje się zwrotów towarów nietypowych lub towaru sprowadzonego/ wyprodukowanego na specjalne zamówienie Kupującego.
  3. Zwrot towaru dokonywany będzie poprzez wystawienie faktury korygującej.
  4. Rozpatrywane będą tylko sprawy do 30 dni od daty wystawienia faktury.
  5. Koszty transportu za zwracany towar ponosi Kupujący.

 
X. POSTANOWIENIA KOŃCOWE

  1. Wszelkie zmiany do OWS zaproponowane przez klienta przy składaniu zamówienia wymagają pisemnej zgody Sprzedającego.
  2. Informacje podane w katalogach, folderach oraz ofertach oraz na stronie internetowej  Sprzedającego nie pociągają za sobą żadnych zobowiązań, a są jedynie zaproszeniem do  negocjacji.
  3. Strony nie ponoszą odpowiedzialności za częściowe lub całkowite niewykonanie zobowiązań wynikających z umowy, jeżeli jest to spowodowane działaniami siły wyższej. Za siłę wyższą rozumie się okoliczności niezależne od partnerów takie jak: pożar, strajki, powódź, embargo, ograniczenia energetyczne, zakłócenia w transporcie, trzęsienia ziemi itp.
  4. Wszystkich klientów obowiązują powyższe OWS, o ile indywidualna umowa nie stanowi inaczej.
  5. Sądem właściwym do rozstrzygania ewentualnych sporów będzie sąd właściwy dla siedziby głównej Sprzedającego.

GENERAL TERMS & CONDITIONS OF SALE AT BIBUS MENOS Sp. z o.o. (Limited Liability Company)

 
I. SALE OF GOODS

  1. The Buyer acknowledges that these General Terms and Conditions of Sale constitute an integral part of the sales purchase agreement and each confirmation of the sales order.
  2. Goods shall be sold on the basis of a written order/letter, fax, e-mail, dealer/in person system, or in the case of permanent commercial contacts on the basis of a telephone order.
  3. BIBUS MENOS Sp. z o.o. undertakes to protect the personal data of its customers in accordance with applicable regulations in this regard.
  4. The minimum amount of the order is PLN 50 net. In the case of lower orders, a handling amount of PLN 30 shall be added, unless the individual agreement provides otherwise.
  5. Due to the fact that BIBUS MENOS sp. z o.o. does not sell to customers who are Consumers, the provisions of this document do not apply to the relationship between the Seller – the Consumer and therefore do not take into account the rights of the Consumer under the warranty for physical and legal defects of the product sold, nor the rights contained in the Act of 30 May 2014 on Consumer Rights (consolidated text: Journal of Laws of 2017, item 683).

 
II. CUSTOMERS

  1. The order placed by the Customer should contain the following information:
    type of goods, quantity and proposed date of execution or planned dates of acceptance/collection in the case of framework orders, company identification data, manner of collection of goods, number of our offer.

 
III. METHOD, CONDITIONS AND DEADLINES OF DELIVERIES

  1. On the basis of placed orders and after analysing the execution capabilities, the Seller prepares an order confirmation for the customer. Failure to respond in writing by the Buyer within 2 working days from the receipt of the confirmation of the sales order shall be tantamount to consent to the performance of the order and acceptance of the General Terms and Conditions of Sale.
  2. Ordered goods which, at the moment of receipt of the order, are stored in the warehouse shall be delivered in Poland within 3 working days from the date of receipt of the order to the address indicated by the Buyer, unless an individual agreement provides otherwise.
  3. Each time the outer page of the consignment bears a VAT invoice envelope. At the customer’s request, the invoice may be sent by post to the indicated address.
  4. In the case of own collection, the Seller prepares the ordered goods for collection within the agreed time and in the agreed place.
  5. The buyer is obliged to examine the goods as soon as they are received in terms of compliance with the order. In particular, it is obliged to check the condition of the consignment and the quality, quantity and range of goods delivered, and to immediately notify the carrier and the Seller in writing of any reservations in this regard.
  6. Failure to raise objections by the Buyer immediately after the receipt of the goods shall be considered as confirmation of the correctness of the delivery.
  7. The Seller shall not be liable for any damage or loss of the consignment in transport or delay in the delivery due to the fault of the carrier. At the time of receipt of the consignment, the Buyer is obliged to verify whether the consignment has no damage arising during transport, as well as take a record at the time of delivery, in the presence of a courier, of the condition of the consignment in the event of suspicion of damage. In the absence of such a damage report, the complaint for damage to transport shall not be automatically recognised.
  8. In the event of a delay in the delivery of goods beyond the Seller’s control, the deadline for the execution of the order shall be extended by the duration of the obstacle preventing the Seller from timely execution of the order. In the event of a delay in the delivery of goods, the Seller shall inform the Buyer about the reason for the delay and the new expected date of execution of the order.
  9. Orders containing changes to an offer or supplementing its content shall not be considered as acceptance of the offer but as a new request for the purchase of goods, which requires a new offer. In such a case, the existing offer shall expire.
  10. Withdrawal by the Buyer of the order in whole or in part after the conclusion of the sales agreement, as well as amendments to the order, shall not be taken into account. The Buyer shall be liable to the Seller for any and all damage resulting from unjustified resignation from the order in whole or in part.

 
IV. TRANSPORT COSTS

A logistical fee of EUR 6 net (applies to domestic transports) is collected by us for consignments with an invoice value of up to PLN 500 net. For undersized consignments exceeding 2.5 m in length and in the case of goods dispatched abroad, logistical fees for transport shall be determined on an individual basis.
 
V. PAYMENT TERMS AND TIME LIMITS

  1. The date of payment shall be the date on which the receivables are credited to the account.
  2. The first 2 transactions shall be made either against prepayment or against collection, and the 14-day payment deadline shall then apply, unless otherwise provided for in the agreement. In the case of goods imported or manufactured specifically for a given customer, only prepayment shall apply.
  3. In the event of failure to meet payment deadlines, the supplier shall have the right to assign an overdue amount due under the agreement on assignment of receivables to the debt collection company, suspend the execution of orders and refuse consent to payment by transfer.

 
VI. RESERVATION OF OWNERSHIP

  1. The delivered goods shall remain the property of the Seller until the Buyer has repaid the entire amount due.
  2. If the Buyer converts or combines the delivered goods with other goods, the Seller shall be entitled to co-ownership to the new product in proportion to the share of the value of the goods delivered by the Seller up to the total value of all goods used for the construction of the given product.

 
VII. LIABILITY FOR DAMAGE CAUSED BY THE PRODUCT

The Seller shall not be liable for damage related to the goods after their delivery to the Buyer.
 

VIII. GUARANTEE

  1. The Seller shall provide the Buyer with a guarantee for the purchased goods for a period of 12 months from the date of sale.
  2. The Seller shall remove, free of charge, hidden defects or defects caused for reasons attributable to the delivered goods.
  3. The Seller shall be liable only for defects which arose despite the proper use of the delivered goods.
  4. The Seller shall not be liable for damage to the delivered goods if it has occurred as a result of improper use, improper installation and in the case of modification/ repair in a service other than the Seller’s service, unless the Seller has given its prior consent.
  5. The guarantee does not cover goods which, even in some part, were made of materials delivered by the Buyer or in accordance with the specification provided by the Buyer.
  6. A complaint may be filed only by the Buyer using on-line form https://formularze.bibusmenos.pl/reklamacyjny/.
  7. The notification must include: sales invoice number, original guarantee card (if applicable), device’s factory number, defect description.
  8. The device submitted for complaint must be delivered to the Seller or another place indicated by the Seller in the same condition as the one in which the customer received it at the time of purchase (complete, removed, without additional devices).
  9. The complaint starts with the delivery of the device to the Seller’s service or another place indicated by the Seller.
  10. In the event of an unjustified complaint request, all related costs – including the costs of carrying out the expert opinion – shall be borne by the complainant.
  11. The cost of sending the goods subject to a complaint for repair and after repair shall be borne by the Buyer. If the complaint is accepted, the costs of transport shall be borne by the Seller.
  12. The guarantee shall expire if the Buyer fails to comply with the terms and conditions of the agreement, in particular if the payment is not made within the payment deadline.
  13. Liability under warranty is excluded. The Seller’s liability for damages for any reason shall be limited to the value of the goods/ services sold. Moreover, the Seller shall not be liable for benefits lost by the Buyer or the user of the goods.

 
IX. RETURNS OF GOODS

  1. If it is necessary to return the goods, contact the Seller and confirm such a possibility.
  2. We accept the return of only undamaged and unused goods. Returns of atypical goods or goods imported/ manufactured at a special order of the Buyer shall not be accepted.
  3. The goods shall be returned by issuing a correcting invoice.
  4. Only cases up to 30 days from the date of issue of the invoice shall be examined.
  5. Costs of transport for the returned goods shall be borne by the Buyer.
  6. FINAL PROVISIONS
  7. Any and all amendments to the GTC proposed by the customer when placing an order shall require a written consent of the Seller.
  8. The information provided in catalogues, folders and offers and on the Seller’s website does not entail any obligations but is merely an invitation to negotiate.
  9. The Parties shall not be liable for partial or total non-performance of obligations under the agreement if this is due to force majeure. Force majeure means circumstances beyond the control of partners such as fire, strikes, floods, embargoes, energy restrictions/limits, transport disruptions, earthquakes, etc.
  10. All customers shall be bound by the above GTC, unless an individual agreement provides otherwise.
  11. The court competent to settle any disputes shall be the court having jurisdiction over the registered office of the Seller.
